If you are a current Surgery Partners shareholder, you are encouraged to submit your information using the form on this page. You may also email adam@bfalaw.com or call 212.789.3619.

Why is the Surgery Partners Transaction being Investigated?

In the October 26, 2026 announcement of the merger, Surgery Partners disclosed that it was being taken private by Bon Secours Mercy Health, Inc., for a price of $23.50 per share.  At the same time, the company disclosed that Bain Capital would be rolling over its equity into the post-merger entity. Bain Capital currently owns 39% of the company’s outstanding shares.

Surgery Partners has reported that the decision to enter into the merger was approved by a special committee of its board of directors, and the merger is conditioned on the majority approval of the minority stockholders.  While Bain Capital’s ownership of the enterprise will continue, public stockholders have no opportunity to continue owning Surgery Partners after the merger.

BFA is investigating whether the terms of the merger comply with Delaware law, including whether Bain Capital’s self-interest in the merger caused related breaches of fiduciary duty, and whether the per share price is a fair price for the public stockholders’ shares of Surgery Partners stock.
