City of Atlanta General Employees’ Pension Plan v. Helen of Troy Limited

U.S. Securities Litigation

Role BFA is Co-Lead Counsel and represents Court-appointed Co-Lead Plaintiffs Metropolitan Transportation Authority Master Trust and Manhattan and Bronx Surface Transit Operating Authority Pension Plan Trust.
Background Securities class action arising from misstatements concerning Helen of Troy’s Project Pegasus restructuring initiative.
Court U.S. District Court for the Western District of Texas
Case Number 26-cv-01528
Status Pending

BFA represents Co-Lead Plaintiffs Metropolitan Transportation Authority Master Trust and Manhattan and Bronx Surface Transit Operating Authority Pension Plan Trust.  On August 21, 2026, the Court appointed BFA as Co-Lead Counsel in this class action lawsuit for violations of the federal securities laws against Helen of Troy Limited ("Helen of Troy" or the "Company") and certain of the Company's senior executives.  The complaint asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 on behalf of investors in Helen of Troy securities between April 24, 2024 and October 8, 2025, inclusive.

This case arises from Defendants' materially false and misleading statements concerning Project Pegasus, a “global restructuring program focused on both efficiency and effectiveness,” which followed a period of aggressive acquisition and poor integration by Helen of Troy.  Defendants’ misstatements created the false impression that Project Pegasus was being implemented successfully and created savings that were being used as “fuel” for reinvestment into the Company.

The truth emerged when Helen of Troy announced poor financial results and took a $414.4 million goodwill impairment in three corrective disclosures:  (i) on July 9, 2024, after which shares declined by $24.68 per share, or 27.7%; (ii) on July 10, 2025, after which shares declined by $7.04 per share, or 22.7%; and (iii) on October 9, 2025, after which shares declined by $6.90 per share, or 25%.

BFA was appointed Co-Lead Counsel on August 21, 2026 and will be filing an amended complaint on a schedule to be determined by the Court.
